UG UAE LLC today announced the appointment of its first External Ethics Chair. The appointment is effective immediately and runs for an initial term of three years.
The Ethics Chair is an external appointee with senior experience in law, ethics, and institutional governance. The position is independent of the firm's executive line and reports directly to the Board.
The mandate of the Ethics Chair is set by the Charter. It includes annual review of the Charter itself, oversight of conflict screening and client acceptance, review of any engagement flagged on ethical grounds by an operator or analyst, and standing authority to refer concerns to the Board without management filter.
"The Ethics Chair is not advisory. The role is constituted to disagree with us in writing, on the record, and in time to matter," said a spokesperson for UG UAE. "The Charter is only as durable as the seat that enforces it."
The Ethics Chair will publish an annual statement on the operation of the Charter. The statement is unredacted by the firm prior to publication and is delivered concurrently to the Board and to the public record.
The Ethics Chair is compensated on a fixed annual basis with no performance, equity, or contingent component. The terms are disclosed in the firm's annual report.
