Terms of Use

These Terms of Use ("Terms") govern access to and use of the public website operated by UG UAE ("UG UAE," "we," "us," or "our") at the domain on which they are published, together with any subdomains and related pages (collectively, the "Site").

These Terms apply to your use of the Site only. They do not constitute, and shall not be construed as, an offer of services, a service agreement, a teaming agreement, a non-disclosure agreement, or any form of contractual undertaking to deliver advisory, security, intelligence, training, technology, or any other services. Any such services are provided exclusively under separately negotiated written agreements between UG UAE LLC and the client.

1. Acceptance

By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

If you access the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. Eligibility and accurate use

You may use the Site only if you can form a legally binding contract under the law of your jurisdiction. You agree to:

• provide accurate and current information when submitting any form, inquiry, application, or other content;
• use the Site only for lawful purposes consistent with these Terms;
• not represent yourself as another person, organization, or affiliate; and
• not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with another party's use of it.

3. Intellectual property

The Site, including its text, layout, graphics, logos, photographs, video, audio, source and object code, design elements, and the selection and arrangement of the foregoing (the "Content"), is owned by UG UAE or its licensors and is protected by copyright, trademark, database, and other intellectual-property laws.

Subject to your compliance with these Terms, UG UAE grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for your personal or internal business informational purposes. No other rights are granted, express or implied.

UG UAE, the UG UAE logo, and any product or service names referenced on the Site are trademarks or registered trademarks of UG UAE LLC or its licensors. All such marks remain the property of UG UAE LLC, and nothing in these Terms grants you any right to use them without our prior written consent.

4. Restrictions

You shall not, and shall not permit any third party to:

• copy, reproduce, modify, translate, adapt, or create derivative works of the Site or any Content, except as expressly permitted by these Terms or by applicable law that cannot lawfully be excluded;
• scrape, spider, harvest, or otherwise extract data from the Site by automated or manual means, except (a) by general-purpose search-engine crawlers that respect our published robots.txt, or (b) with our prior written consent;
• reverse engineer, disassemble, decompile, or otherwise attempt to derive source code, algorithms, or trade secrets from any software made available through the Site, except to the extent applicable mandatory law expressly permits such activity notwithstanding this restriction;
• circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict use, copying, or access;
• use the Site to transmit malware, perform vulnerability scanning, denial-of-service activity, or any unauthorized testing (testing is governed by our Vulnerability Disclosure Policy);
• use the Site to develop, train, or fine-tune any machine-learning model on the Content, except with our prior written consent; or
• use the Site in violation of any applicable export-control, sanctions, anti-corruption, or anti-money-laundering law.

5. No service relationship; informational nature of content

The Content is published for general informational and corporate-communications purposes. It does not constitute legal, security, intelligence, financial, technical, or any other professional advice, and it must not be relied upon as such. Visiting the Site, contacting us through the Site, submitting an inquiry, downloading materials, or engaging with our published content does not create an attorney-client, advisor-client, agent-principal, or other professional relationship.

Statements about capabilities, frameworks, methodologies, and case studies are descriptive of UG UAE's general practice and may be subject to confidentiality, jurisdictional, and engagement-specific constraints. They do not constitute representations or warranties about the outcome of any specific engagement.

6. Submissions and feedback

If you submit ideas, suggestions, comments, or feedback regarding the Site or our offerings ("Feedback"), you grant UG UAE a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and exploit that Feedback for any purpose without obligation or compensation to you. Do not submit information you consider confidential.

7. Links to and from third-party sites

The Site may contain links to websites, resources, or services operated by third parties. Those links are provided for convenience only. UG UAE does not control, endorse, or assume responsibility for the content, policies, or practices of any third-party site, and your use of any third-party site is at your own risk and subject to that site's terms.

You may link to the Site from your own website provided that the link does not (a) imply affiliation, endorsement, or sponsorship that does not exist, (b) frame or present Content in a misleading or disparaging context, or (c) infringe any intellectual-property right of UG UAE. We may withdraw permission to link at any time.

8. Disclaimers

To the maximum extent permitted by applicable law, the Site and the Content are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and freedom from defects, errors, viruses, or other harmful components.

UG UAE does not warrant that the Site will be uninterrupted, secure, or error-free, or that any defect will be corrected.

9. Limitation of liability

To the maximum extent permitted by applicable law, UG UAE and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your access to or use of, or inability to access or use, the Site, regardless of the cause of action and even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or any liability that may not be excluded or limited under the laws of the United Arab Emirates.

10. Indemnity

You agree to indemnify and hold harmless UG UAE and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site, to the extent permitted under the laws of the United Arab Emirates.

11. Suspension and termination

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, including for suspected breach of these Terms or for operational, security, or legal reasons. Provisions that by their nature should survive termination will survive.

12. Governing law and jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles.

The courts of the Emirate of Dubai shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Site, except that we may bring proceedings in any jurisdiction in which you are located to enforce our intellectual-property rights or to seek injunctive relief. Nothing in this clause affects any mandatory protection available to you under the laws of your place of residence that cannot lawfully be excluded.

13. Modifications

We may modify these Terms from time to time. The version number, last-updated date, and effective date at the top of this page identify the current version. Material changes will take effect upon posting unless a later effective date is specified. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

14. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and UG UAE LLC regarding the Site.
